Hereinafter, the platform shall be referred to as Wind Solar Market and CONSULTRIO SRL as the Website Operator.
Accessing or using the website implies acceptance of these Terms to the extent that they apply. To register, publish projects, request confidential information or contract services, the user must expressly accept the Terms in force at that time.
2. Purpose of the platform
Wind Solar Market is a digital platform designed to facilitate:
- the submission of solar and wind energy projects;
- the search for renewable energy projects;
- contact between owners, developers, buyers, investors, financiers and potential strategic partners;
- the initial exchange of information between interested parties;
- the international promotion of opportunities relating to renewable energy projects.
The platform does not guarantee that contacts initiated through the website will result in negotiation, investment, sale, financing or any other transaction.
3. Nature of the service
Unless expressly agreed otherwise in a separate contract, Wind Solar Market acts solely as an information, introduction and contact platform.
Wind Solar Market:
- is not the owner of projects published by third parties;
- does not directly buy or sell projects;
- does not automatically represent sellers, buyers or investors;
- does not act as a financial institution, crowdfunding platform, investment services firm or securities intermediary;
- does not receive, hold or transfer funds intended for transactions;
- does not execute investment orders;
- does not guarantee financing, profitability, energy production or economic returns;
- does not provide personalised financial, tax, legal or technical advice merely through use of the platform;
- is not a party to any contracts that may be entered into between users.
Any additional professional services offered by the Website Operator shall be subject to a separate proposal or contract.
4. Platform users
The platform is intended for private individuals as well as companies, professionals, developers, project owners, investors and authorised company representatives.
To register, the user must:
- be at least 18 years old;
- have sufficient legal capacity;

The user who publishes or submits a project declares that:
- they are authorised to submit the project;
- the information provided is accurate and not misleading;
- they hold sufficient rights to the texts, photographs and documents supplied;
- publication does not breach any confidentiality obligations;
- they do not impersonate any person, company or owner;
- the technical and administrative information reasonably reflects the known status of the project;
- they will report any material changes, suspension, sale or withdrawal of the project;
- they will not deliberately conceal any encumbrances, disputes, impediments or other relevant circumstances.
Publication does not constitute certification, legal validation, an audit, a valuation or due diligence carried out by Wind Solar Market.
7. Review and moderation
Wind Solar Market may:
- review content before or after publication;
- correct purely formal or presentation errors;
- request supporting documentation;
- temporarily restrict the visibility of a project;
- reject, suspend or withdraw a publication;
- block documents that may contain sensitive information;
- restrict access to reserved content;
- request the deletion of unnecessary personal data;
- take measures to protect users and the platform.
Any review carried out by Wind Solar Market does not replace the checks that prospective buyers, investors or advisers should perform themselves.
Where significant action is taken in relation to an account or publication, the Website Operator will endeavour to inform the user concerned and explain the reason, unless legal, security or fraud-prevention considerations require otherwise.
8. Prohibited content
It is not permitted to publish, transmit or use the platform for content that:
- is false, misleading or fraudulent;
- is unlawful or promotes unlawful activity;
- infringes intellectual or industrial property rights;
- breaches confidentiality obligations;

- its location on the platform;
- the reason for the report;
- any supporting documentation or explanation;
- the contact details of the person submitting the report.
Wind Solar Market will review reports submitted in good faith and may request additional information, leave the content unchanged, restrict it, correct it, suspend it or remove it.
Abusive or deliberately false reports may result in access restrictions.
10. Reserved information and confidentiality
Certain documents or information may be available exclusively to registered or authorised users.
Access to reserved information does not entitle the user to:
- publish or distribute it freely;
- use it for purposes other than evaluating a potential transaction;
- contact third parties identified in the documents for purposes outside the authorised scope;
- reproduce databases or project listings;
- circumvent technical access restrictions;
- disclose trade secrets or confidential information.
Where a transaction requires a higher level of confidentiality, the parties should enter into a separate confidentiality agreement.
Wind Solar Market may withdraw access from users who misuse confidential information.
11. Due diligence and independent advice
Before making any decision, users must carry out their own checks and obtain independent professional advice.
Among other matters, users should verify:
- the identity and legal capacity of the parties;
- ownership of and authority to represent the project;
- land rights;
- licences and authorisations;
- the stage of development;
- grid connection status and available capacity;
- technical and environmental studies;
- production estimates;
- existing contracts;
- liabilities and legal disputes;
- the company's corporate, tax and financial position;
- technical and economic feasibility;
- financing conditions;
- the legal and tax consequences of the transaction.
No information made available on the platform should, by itself, be considered sufficient for an investment, purchase or financing decision.
12. Prices and paid services
General access to certain parts of the website may be free of charge.
Publication, promotion, featured visibility, access to restricted documentation, subscriptions or other features may be subject to fees or payment plans.
Before purchasing a paid service, the user will be clearly informed of:

- the total price and any applicable taxes;

Where the user is legally regarded as a consumer and enters into a distance contract for a paid service, they shall enjoy the rights recognised by the applicable legislation.
Where applicable, the consumer shall have fourteen calendar days to withdraw from the contract without having to provide a reason.
If the consumer expressly requests that performance of the service begin during that period, they may be required to pay an amount proportionate to the service actually provided up to the date of withdrawal.
Where a digital service has been fully performed before the withdrawal period expires, the right of withdrawal shall be lost only where the legally required conditions have been met, including the consumer's express consent where required.
Specific information on withdrawal, cancellation and refunds will be provided before each paid purchase.
14. Intellectual and industrial property
The design, logo, visual identity, structure, proprietary texts, databases and other elements created for Wind Solar Market belong to the Website Operator or are used with authorisation.
The user may not:

- modify or remove proprietary notices or labels;

Wind Solar Market may hide or remove such data in order to protect the individuals concerned.
16. Availability and security
Wind Solar Market will endeavour to keep the platform available and secure, but does not guarantee uninterrupted or error-free operation.
The service may be temporarily suspended due to:

- technical failures;
- security incidents;
- force majeure events;
- actions by technology providers;
- measures necessary to protect users.
Users must keep their own copies of the information and documents they submit. The platform must not be used as the sole system for archiving or retaining documents.
17. Liability

To the extent permitted by applicable law, Wind Solar Market shall not be liable for:

18. Suspension and cancellation of accounts
Wind Solar Market may warn, restrict, suspend or cancel an account where:
- these Terms are breached;

- there is reasonable evidence of fraud;
- third-party rights are infringed;
- reserved information is misused;
- the security of the platform is compromised;
- there is a legal obligation or a requirement from a competent authority;
- the account remains inactive for a prolonged period;
- the user engages in abusive or harmful use.
Any measure taken will be proportionate to the seriousness and frequency of the conduct, where circumstances permit.
The user may request cancellation of their account using the contact email address. Cancellation will not affect any liabilities or obligations incurred previously.

Wind Solar Market does not control or guarantee:
- their availability;
- their security;
- their content;
- their privacy policies;
- their terms and conditions;
- the accuracy of the information they provide.
Access to such websites or services is at the user's own risk.

Users must maintain a valid email address and check their email regularly.
Commercial communications will be sent only where there is a sufficient legal basis and users may opt out using the mechanisms provided.
21. Amendments to the Terms
Wind Solar Market may amend these Terms to reflect:
- legislative changes;
- new features;
- payment systems;
- new services;
- security measures;
- changes to the business model;
- operational requirements.
Where an amendment materially affects registered users or contracted services, reasonable advance notice will be given where possible.
Continued use of the platform after the amended Terms take effect will constitute acceptance where legally applicable. If the user does not agree, they may stop using the service and request closure of their account.
22. Governing law and jurisdiction
These Terms are governed by Romanian law and any applicable European Union legislation.
Where the user acts as a consumer, they shall retain the protection afforded by mandatory rules applicable in their country of residence and may bring proceedings before the competent courts in accordance with consumer protection legislation.
Where the user acts in the course of business or as a professional, and where permitted by law, disputes shall be submitted to the competent courts of Cluj-Napoca, Romania.

24. Severability
If any provision is declared void, invalid or unenforceable, the remaining provisions shall remain valid.

25. Applicable version
The applicable version shall be the version published on the website at the relevant time.
